Welcome to Proxy Landlord. These Terms of Service ("Terms") govern your access to and use of the Proxy Landlord platform, a trading name of BySelling Ltd (Company Registration No: 12242286, Registered at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ). By registering an account, you agree to be bound by these Terms.

1. Nature of the Platform

Proxy Landlord provides digital software tools for independent landlords, including document storage, communication routing, and digital contract generation. We are a technology provider, not a letting agency, property manager, or law firm. We do not provide legal, financial, or tax advice. It is your sole responsibility to ensure that your use of the platform complies with all local housing laws, including the creation and execution of tenancy agreements.

2. Digital Tenancy Agreements & Signatures

Our platform allows you to generate and sign Assured Shorthold Tenancy (AST) agreements electronically. Electronic signatures executed via our platform are legally valid and binding under the UK Electronic Communications Act 2000 and the UK eIDAS Regulation. However, it is your responsibility to:

• Ensure the terms generated within the contract meet your specific legal requirements.
• Verify the identity of the tenant signing the agreement.
• Provide tenants with all legally required accompanying documentation (e.g., How to Rent guide, EPC, Gas Safety Certificate, and Deposit Protection information) alongside the AST.

3. Proxy SMS Routing & Communication

Proxy Landlord provides virtual phone numbers to route SMS messages between you and your tenants. By using this service, you agree that:

• The proxy numbers are for SMS text messaging only and do not support voice calls or emergency services (e.g., 999).
• You will not use the SMS service to send spam, marketing, abusive, or unlawful content.
• Messages are subject to fair use limits based on your subscription tier. We reserve the right to suspend SMS routing if automated or excessive messaging degrades system performance.

4. Document Vault & Compliance

The Secure Document Vault is provided to help you organize compliance files. While we provide automated expiration tracking, you remain solely legally responsible for renewing your Gas Safety Certificates, EPCs, EICRs, and HMO licenses on time. Proxy Landlord accepts no liability for fines or legal action resulting from lapsed compliance documentation.

5. Payments & Subscriptions

Paid subscriptions (Pro and Portfolio tiers) are billed in advance on a monthly or annual basis via our payment processor, Stripe. You may cancel your subscription at any time; however, no refunds will be provided for partial billing periods. Upon cancellation, your account will downgrade to the Basic tier at the end of your billing cycle, and excess properties or premium features will be locked.

6. Limitation of Liability

To the maximum extent permitted by law, BySelling Ltd and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, rental income, or data, resulting from your use of the platform, service interruptions, or disputes between you and your tenants.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
